Call To Order And Agenda

A regular meeting of the Board of Directors (the “BOD”) of the Chinquapin Homeowners Association. (the “CHOA”) was held at the above date, time, and location. All members of the Board had received notice of the meeting in accordance with the CHOA’s bylaws. Mr. Bertelsen confirmed that each person participating in the meeting by teleconference could hear and be heard by every other person participating in the meeting. Mr. Stalder acted as Secretary of the meeting. Mr. Bertelsen reviewed the agenda for the meeting.

Homeowner’s Open Session

Mr Bertelsen opened the floor to questions or comments from all homeowners. Discussion on the following topics ensued: ● Roof Conditions ● Wildfire evacuation planning. ● Email communication from HOA is not being received regularly.

Approval of Prior Meeting Minutes

Mr. Bertelsen called for a vote to approve the minutes of the prior CHOA Meeting as distributed in draft form by Mr Stalder. Approval of Minutes from Board of Directors Meeting held on November 2, 2024 NOW, THEREFORE, BE IT RESOLVED, that the Minutes of the Regular Meeting of the BOD, as presented to the BOD, is hereby approved.

President’s Report

Mr. Bertelsen led a discussion of various topics that had been brought to his attention over the last several months. Discussion ensued. a. Recent Bear Break-ins. Mr. Bertelsen led a discussion about recent bear break-ins in multiple units at Chinquapin, a recent communication to homeowners about options to install bear mats and associated means to mitigate future break-ins. 2 b. Homeowners Assessments Mr. Bertelsen led a discussion about necessary future assessments that will be $10,000 / unit in 2025 and likely an additional $10,000 / unit in 2026. Further discussion ensued about alternative cost-sharing strategies with homeowners. c. EV Charging Stations Mr. Bertelsen led a discussion about the installation of shared EV Charging stations in the community. Discussion ensued. d. Roof and Deck Maintenance Mr Bertelsen led a discussion about the preliminary results from an inspection of all exterior decks and roofs Discussion ensued about cost implications, staging of work over the next several years, and related communications with homeowners. Discussion ensued. e. Maintenance Items specific to certain units Mr Bertelsen led a general discussion about maintenance items specific to certain units that have been escalated to the BOD. Discussion ensued. .

Treasurer’s Report

Mr. Giacomi provided a brief finance update, including a review of cash balances, insurance prepayments, and receivables. The current Operating Account balance is $503,000 and the current Reserve Account is $702,000. No items required BOD approval. 6. Insurance Committee Mr. Wedekind led a discussion about the transition to a new insurance carrier and broker of record that is underway. No items required BOD approval.

Architectural Review Committee

Mr. Wedikin led a brief Architectural Review Committee update. No items required BOD approval.

Ground Committee

Report Mr Sarvis led a discussion on the status of various grounds-related projects. ● Completion of homeowner-owned toy and accessories removal along the shoreline. ● Expansion of the fire truck turnaround near Dollar House. Discussion ensued. ● General pier, buoy field and swim platform maintenance. Discussion ensued. ● Ongoing tree work, including clearing and removal for fire safety. Discussion ensued.

Jack of All Trades Report

Mr. Jack and Ms, Jack led a discussion on the status of various grounds-related projects. ● Staffing, uniforms, and preparation for winter. ● Discussion about CHOA-led roof repairs required for: ○ Units 42-45: Estimated cost $59,950 ○ Units 90-92: Estimated cost $49,500 ○ Units 121-123: $56,500

The BOD moved to a closed session at this point in the meeting and all non-board members left the meeting except for Mr. Jack and Ms. Jack.

Closed Session

Potential Overcharges by Previous Insurance Vendor The CHOA’s new broker of record gave notice to the BOD that there were potential overcharges by our previous insurance company. Discussion ensued. Approval to Engage Legal Counsel To Pursue Remedy NOW, THEREFORE, BE IT RESOLVED, that the CHOA approves Mr Bertelesment and Jack of All Trades to take the necessary actions with legal counsel to pursue a remedy to the potential overcharges in premiums and fees.

Renter Behavior Challenges Mr Wedekind led a general discussion about several good neighbor conduct and safety violations by vacation renters in the Community. Discussion ensued.
